Phase I ESA
A Phase I Environmental Site Assessment is a records-and-inspection review of a property's environmental condition, covering historical uses, regulatory databases, adjoining sites, and a site walk. It identifies recognized environmental conditions without collecting samples.
Why Phase I ESA Matters in a Laundromat Sale
Laundromats do not use dry-cleaning solvent in normal self-service washing, but a current or former dry cleaner at the premises or an adjoining suite can create PCE contamination in soil, groundwater, or vapor. This is the one diligence item whose downside can exceed the purchase price. A Phase I is standard when real estate or a lender is involved and can be prudent on a leasehold deal with prior dry-cleaning use.
Example
A store occupies a suite that housed a dry cleaner until 2004. A Phase I identifies the historical use and recommends further assessment. The buyer conditions closing on the results and negotiates an environmental indemnity from the landlord rather than assuming the risk silently.
