FF&E

FF&E stands for furniture, fixtures, and equipment: the tangible operating assets of a business. In a laundromat it means washers, dryers, water heating equipment, payment hardware, folding tables, seating, signage, and carts.

Why FF&E Matters in a Laundromat Sale

FF&E is scheduled by make, model, serial number, and capacity in the purchase agreement, both so the buyer knows exactly what conveys and so the allocation has a defensible basis. It is also where lien searches matter: laundry equipment is frequently financed, and UCC filings survive until released. A schedule without serial numbers is a schedule that cannot be verified against what is actually on the floor.

Example

The APA schedules 34 washers and 28 dryer pockets by serial, plus the boiler, card readers, kiosk, changer, seating, and carts, and excludes the seller's personal tools and shop vacuum. A pre-closing lien search turns up a stale UCC filing on eight machines, released before funding.
